TERMS OF SERVICE AGREEMENT

This Terms of Service Agreement (“AGREEMENT”) is made and entered into by and between you, as a user, and PayrollLeader.com, and its subsidiaries and affiliates (collectively, “PAYROLLLEADER”). This AGREEMENT contains the terms and conditions that govern the use of PayrollLeader’s Payroll and Human Resource software and services (collectively, the “SYSTEM”).

This AGREEMENT applies to you and all persons who use or access the SYSTEM, including authorized users representing the client company, its employees, or anyone else accessing the SYSTEM (collectively, “USERS”). If you accept these terms on behalf of a business or an individual other than yourself, you represent and warrant that you have the authority to bind that business or individual to this AGREEMENT. In that case, “USER” also refers to that business or individual. By accessing or using the SYSTEM, USER agrees to be bound by this AGREEMENT.

Core Service Terms & Rights

To use the SYSTEM, USER must set up an account with PayrollLeader.com (an “ACCOUNT”).

PayrollLeader will permit USER to access and use the SYSTEM over the internet. You are responsible for your internet access and all associated hardware and physical requirements for accessing the SYSTEM. This AGREEMENT grants you the right to access server hardware and database software at PayrollLeader’s designated hosting location.

YOU HAVE THE RIGHT TO FREE ACCESS AND UPDATES. PayrollLeader will provide updates and enhancements to the SYSTEM and ensure compliance with regulatory changes relevant to government regulations.

Service Fees & Payment Authorizations

PayrollLeader offers optional services (“SERVICES”) that may have associated fees. USER agrees to pay for the use of any paid SERVICES as per the current fee schedule. PayrollLeader reserves the right to change fees, and USER may cancel services if a fee increase or change is not acceptable.

User Responsibilities & Obligations

You agree to keep your PayrollLeader account information confidential, including your password and user name, and to notify PayrollLeader immediately if your account information is compromised. You are responsible for all actions taken under your account.

PayrollLeader will process payroll based on the information provided by you. You are responsible for the accuracy of the data entered and must notify PayrollLeader of any changes. All payroll submissions are final once posted.

Limited Warranty and Limits of Liabilities

PayrollLeader does not guarantee error-free or uninterrupted operation of the SYSTEM. The SYSTEM is provided “as-is.”

In the event of any defects or problems caused by the SYSTEM, PayrollLeader will make reasonable efforts to remedy the issue. However, PayrollLeader is not responsible for errors, omissions, or other deficiencies caused by USER input.

PayrollLeader’s liability is limited to the amounts paid by USER for the month in question. PayrollLeader is not responsible for any lost profits or incidental damages.

Indemnity

USER agrees to indemnify and hold PayrollLeader harmless from any claims, costs, damages, and expenses, including legal fees, arising from USER’s use of the SYSTEM.

Governing Law

This AGREEMENT is governed by the laws of the jurisdiction in which PayrollLeader operates.

General

Any waiver of any breach of this AGREEMENT by PayrollLeader will not be considered a waiver of any other breach. If any provision of this AGREEMENT is found to be unenforceable, the remaining provisions will continue in full force and effect.

This AGREEMENT constitutes the entire understanding between you and PayrollLeader and supersedes any prior agreements. Any changes to this AGREEMENT must be made in writing and signed by both parties.

By accepting this AGREEMENT, you agree to be bound by its terms and conditions.
